Create an account and browse the marketplace. 2. Pick a live round, read everything, and enter your amount. 3. Verify your identity, then your accredited-investor status. 4. Submit your tax form and sign the subscription agreement. 5. Transfer your investment to the escrow account of the round’s SPV. 6. Hold until an exit event such as an acquisition or IPO. THE STRUCTURE Each round is held through its own Wyoming LLC, formed for that single investment and managed by Vegadash LLC. Investors are passive members with no management rights. The SPV appears as a single line on the startup’s cap table, declares its beneficial owners, files FC-GPR with the Reserve Bank of India, and handles India tax compliance. US persons receive a Schedule K-1. WHO CAN INVEST You must be 18 or over and qualify as an accredited investor under Rule 501(a) of Regulation D. Non-US investors are welcome where their own law permits. The app is not available to residents of India, to residents of jurisdictions under comprehensive US sanctions, or to anyone individually sanctioned. Further restrictions apply to nationals of countries sharing a land border with India under India’s Press Note 3. Verification must be complete before you can commit to a round.
